Terms of Use

These Terms of Use (“Terms”) govern your access to and use of The Exit Code Course (the “Course”), the related workbook and audio/podcast materials, the NorthStar Value Group community, and this website. The Course is offered by NorthStar Value Group, LLC (“NorthStar Value Group,” “we,” or “us”). By enrolling in the Course or using this site, you agree to these Terms. If you do not agree, do not enroll or use the program.

1. The Course

The Exit Code Course is a self-paced, six-module, 18-lesson online program. It is the same NorthStar Value Path taught in the Roundtable, offered here without live advisor time, the AI tools, or the weekly cohort sessions. The course includes video lessons, an audio version of every lesson, private podcast access through Spotify or your own podcast app, and six guided workbook assignments — one per module. A digital copy of The Exit Code is included with your enrollment.

2. Enrollment and Payment

Enrollment in the Course is a one-time payment of $495, made through our payment link. Access is granted once the transaction is confirmed by our payment provider. Pricing and access terms are subject to change for future enrollments, but a change will not affect an enrollment you have already completed.

3. Lifetime Access

Enrollment includes lifetime access to the Course. You may revisit any module or workbook whenever your business or your plan changes, including any new trainings or tools we add to the free community over time. “Lifetime access” means access for the lifetime of the Course as we currently offer it. We reserve the right to retire or materially change the program, but we will not do so in a way that takes away the course materials you have already received.

4. Satisfaction Guarantee and Refunds

We stand behind the quality of this course. If you complete Module 1 and do not feel the Course is right for you, contact us within 30 days of enrolling for a full refund. Refund requests should be submitted through the contact information provided when you enrolled. This guarantee is offered in addition to any rights you may have under applicable consumer-protection law.

5. The Four Diagnostic Tools

As part of the free NorthStar Value Group community, you also get access to four assessments used across the NorthStar advisory practice: the Value Builder Score, PREScore, FreedomScore, and Owner Intent Profile™. These tools are included at no extra cost and are provided for educational purposes. The Owner Intent Profile is a guided, AI-assisted reflection of about 25–30 minutes that turns your answers into a personalized clarity document. The results, scores, and documents these tools produce are not professional financial, tax, legal, business-valuation, or M&A advice, and should not be relied on as such.

6. Education, Not a Broker or M&A Service

NorthStar Value Group is not a broker and is not in the M&A business. The Course and everything included with it are education: building a business worth owning today and worth selling tomorrow. Nothing in the program creates a broker, agency, advisory, brokerage, or employment relationship between you and NorthStar Value Group. Any decisions you make about your business are your own.

7. Your License and Permitted Use

We grant you a personal, non-exclusive, non-transferable license to access and use the Course, the workbooks, the audio and podcast versions, and the community for your own learning and planning. You may not copy, reproduce, redistribute, resell, sublicense, share your access, or otherwise commercially exploit the course materials. Workbook outputs and documents you create from your own answers are yours to keep and use.

8. Your Content and Inputs

When you complete the diagnostic tools or the workbook assignments, you may submit information about your business and your goals. You are responsible for the information you submit, and you confirm that you have the right to share it. You remain responsible for your own business decisions, and any outputs you receive are educational, not professional advice.

9. Intellectual Property

The Course, The Exit Code, the workbook content, the course design, and all related materials — including the names NorthStar Value Group, the NorthStar Value Path, and the Owner Intent Profile — are owned by or licensed to NorthStar Value Group and are protected by intellectual-property laws. Nothing in these Terms transfers any ownership of our materials to you beyond the access license above.

10. Acceptable Use

You agree to use the Course and the community lawfully and respectfully. You will not misuse the site or the tools, interfere with their operation, attempt to gain unauthorized access, submit harmful content, or use the program to harass others. We may suspend or end access if these Terms are violated.

11. Third-Party Services

The Course relies on third-party services, including the payment provider, the platform that hosts the course and community, and podcast platforms such as Spotify. Their terms and privacy practices apply to your use of those services, and we are not responsible for them.

12. The Roundtable

You can apply for the Growth and Exit Roundtable any time. If you enroll within 3 months of buying the Course, we will apply what you paid for it toward your Roundtable enrollment. The Roundtable is a separate program with its own terms, and enrollment is not guaranteed.

13. Disclaimers; Limitation of Liability

The Course is provided “as is” without warranties of any kind. To the fullest extent permitted by law, NorthStar Value Group and its affiliates are not liable for indirect, incidental, or consequential damages arising from your use of the program. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

14. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date above reflects the most recent revision, and we will post updates here. Your continued use of the Course after a change means you accept the revised Terms.

15. Governing Law and Contact

These Terms are governed by the laws of the jurisdiction in which NorthStar Value Group, LLC operates, without regard to conflict-of-laws principles.
